NATIONAL FOREIGN TRADE COUNCIL
RESOLUTION


WHEREAS, the State of Massachusetts and various municipalities have adopted sanctions against companies doing business in or with certain foreign nations; and

WHEREAS, other States and municipalities are considering the implementation of similar legislation; and

WHEREAS, these laws and ordinances adversely affect trade and commerce, and in particular, they interfere with the ability of the members of the National Foreign Trade Council to conduct international trade, and cause financial and other injury to the National Foreign Trade Council's members; and

WHEREAS, these laws and ordinances violate the constitutional mandate that foreign commerce and foreign relations be regulated exclusively by the federal government, and they are otherwise unlawful; and

WHEREAS, the National Foreign Trade Council is organized and authorized to represent the interests of its members in free international trade and commerce.


IT IS HEREBY RESOLVED:

That the National Foreign Trade Council is authorized by its Board of Directors on behalf of its members to file suit in federal court in one or more jurisdictions, seeking invalidation of these laws and ordinances and to retain the law firm of Jones, Day, Reavis & Pogue for that purpose.

That the National Foreign Trade Council is authorized by its Board of Directors on behalf of its members to take whatever further action may be necessary to challenge these laws and ordinances.
